Recognized as a “Leading Lawyer” in M&R, PRC Law and and Corporate Law, by Asia Law & Practice (a Division of Euromoney) 1997-2005 Molly Riley is an experienced China Practice and corporate lawyer, bilingual in Chinese (Mandarin and Cantonese) as well as English. Molly has spent the last 16 years working in Hong Kong and China and has more than 20 years of broad experience in the international financial legal sector. Her extensive experience in the Chinese market includes advising on corporate restructuring, joint ventures, M&A, licensing agreements, lending and security, construction and projects, and intellectual property, for a variety of local and high profile international clients. Molly has advised major petroleum and energy companies, pharmaceutical companies and major software companies, property developers, and others. Molly has advised a number of large listed multi-national and small independent companies and venture capital investors on a wide range of issues arising from investment into China, including due diligence studies, compliance reviews, innovative joint venture and financing arrangements, and also restructuring and buy-outs. At various times Molly also has advised the Hong Kong Stock Exchange and the PRC State Council on proposed legislation, and maintains very good relations with these and other government authorities important to joint venture companies in China. She has additionally run or advised on a number of major litigations in Hong Kong and China. While Molly specializes in corporate and commercial law, the services she regularly offers are comprehensive, including: - advising on setting up, financing and planning entry and exit strategies, and conducting negotiations on these and related matters for manufacturing or service organizations, including professional businesses in the areas of law, architecture and the like - advising on structuring to maximize the benefit of a listing, a management buy out or an acquisition - advising on strategies for working out disagreements and disputes, either among investment partners, with employees or contract parties, or with government agencies - advising on strategies for winning mediated, litigated or arbitrated disputes - organizing and conducting small or complex due diligence investigations - advising on regulatory compliance matters relating to establishing companies, day to day operations, and winding up - advising on day to day issues such as tax and employment arrangements intellectual property protection and enforcement, tax and financial arrangements, etc. Molly has been a prominent China Practice lawyer since January 1989, and since 1997 has been designated as a “Leading Lawyer” in this field. Her book Joint Ventures, Dealing with Liabilities, is one of the earlier in-depth studies of legal issues of relevance to Chinese joint ventures. Molly recently maintains three major chapters to the CCH China Intellectual Property Law Guide and a major chapter to one chapter in Freshfields’ Doing Business in China. Molly speaks and writes frequently on a number of topics relating to China investment and law. Molly is admitted to practice law in New York and Massachusetts, and has for many years worked as a registered foreign lawyer in Hong Kong. Molly was educated at Harvard University (M.A. East Asian Studies) and Columbia University (J.D.). Molly is currently identified by the AsiaLaw Leading Lawyers Survey as one of Asia’s leading business lawyers in M&A law.
